TERMS AND CONDITIONS OF SALE — SIMPLYWOODPLAN

ARTICLE 1 — PURPOSE AND ACCEPTANCE

These General Terms and Conditions of Sale (hereinafter “GTC”) govern the contractual relationship between Michel Guiot, operating as a sole proprietor (hereinafter “Simplywoodplan” or “the Publisher”), and any natural or legal person subscribing to the Simplywoodplan subscription (hereinafter “the User”).

Any subscription to the service implies full and unconditional acceptance of these Terms and Conditions. The User acknowledges having read and accepted them prior to confirming payment.

The Publisher reserves the right to modify these Terms and Conditions at any time. The applicable Terms and Conditions are those in effect on the date the subscription is purchased.

ARTICLE 3 — DESCRIPTION OF THE SERVICE

Simplywoodplan is an online service that helps users design plans for wooden structures (pergolas and other structures). After subscribing, the User gains access to a web application that allows them to enter the dimensions and specifications of their project, choose a template from those available, and obtain a complete PDF plan including construction drawings, wood section sizing, strength and deflection checks, and a hardware list.

The structural calculations included in Simplywoodplan comply with Eurocode 5 (NF EN 1995) and have been validated by our partner engineering firm, Egitura Conception.

The service includes 50 PDF plan generations per calendar month. The counter is reset at the start of each new month.

ARTICLE 4 — PRICING AND PAYMENT TERMS

The subscription fee is €29 per month, including tax.

VAT not applicable, pursuant to Article 293 B of the General Tax Code (VAT exemption).

Payment is accepted exclusively by credit card via the secure Stripe platform. Simplywoodplan does not store any banking information; only Stripe processes and stores this data in accordance with PCI-DSS standards.

A valid invoice is issued for each payment and made available to the User via email or through the customer portal. If the User does not receive the invoice automatically, they may request it at any time by emailing simplywoodplan@gmail.com.

ARTICLE 5 — SUBSCRIPTION AND ACCESS TO THE SERVICE

Subscription is completed on the website https://www.simplywoodplan.com by following these steps: select the subscription on the sign-up page, enter your email address and payment information, expressly accept these Terms and Conditions, and for individual Users (non-professionals), expressly accept the waiver of the right of withdrawal (see Article 7), then confirm the payment.

Access to the service is granted immediately after payment is confirmed, by sending a login link to the User's email address. Authentication is performed using a magic link or a one-time code (PIN).

The User agrees to provide a valid email address and to keep their login credentials confidential. Any use of the account is deemed to have been made by the account holder.

ARTICLE 6 — TERM, RENEWAL, AND TERMINATION

The subscription is for a one-month term and is automatically renewed at the end of each term, in accordance with Article L215-1 of the Consumer Code.

The User may cancel their subscription at any time, free of charge and without providing a reason, through the Stripe customer portal accessible via the "Manage My Subscription" link on the website.

The cancellation takes effect at the end of the current monthly period. The User retains access to the service until the end of the monthly cycle for which payment has already been made. No further charges will be incurred after cancellation, and no refund will be issued for the unused portion of the current month.

The Publisher reserves the right to suspend or terminate a User’s account in the event of a material breach of these Terms of Service, including but not limited to fraudulent use, attempts to circumvent technical restrictions, or infringement of intellectual property rights. Such suspension or termination may occur without prior notice and without refund.

ARTICLE 7 — RIGHT OF WITHDRAWAL AND EXPRESS WAIVER

For Users who are consumers within the meaning of the Consumer Code (individual Users), a fourteen (14)-day right of withdrawal generally applies from the date of subscription, in accordance with Article L221-18.

However, Users acting as consumers expressly acknowledge that, by checking the box provided for this purpose during the subscription process, that they request immediate performance of the service upon confirmation of payment, expressly waive their right of withdrawal in accordance with Article L221-28-1° of the French Consumer Code, and understand that once the service has been fully and immediately performed, no withdrawal may be exercised.

This express waiver is retained by the Publisher as proof of the User's consent.

For Users who are professionals, the right of withdrawal provided for in the Consumer Code does not apply, in accordance with Article L221-3.

ARTICLE 8 — INTELLECTUAL PROPERTY

All components of the Simplywoodplan service—including the application, calculation engine, templates, interface, text, images, graphic design, and algorithms—are the exclusive property of Michel Guiot and are protected by the provisions of the Intellectual Property Code.

Any reproduction, display, modification, publication, transmission, or alteration—whether in whole or in part—of the service or its components, by any means whatsoever, is strictly prohibited without the prior written consent of the Publisher.

PDF drawings generated by the User as part of their subscription may be used freely by the User for personal or professional purposes (such as creating the corresponding projects, presenting to clients, or archiving). However, their resale, commercial distribution, or incorporation into a competing service is strictly prohibited.

The User agrees not to attempt to extract, copy, or reproduce the calculation engine, standard sections, charts, or any other technical data that forms the basis of the service.

ARTICLE 9 — LIMITATION OF LIABILITY

The structural calculations included in Simplywoodplan comply with Eurocode 5 (NF EN 1995) and have been validated by our partner engineering firm, Egitura Conception.

However, Simplywoodplan is not a substitute for a project-specific structural analysis conducted by a qualified professional on-site. The User acknowledges that the generated PDF plan is a design aid, and that the final implementation—including verification of actual site conditions (wood quality, anchors, soil conditions, local climatic loads, environment)—remains the User’s sole responsibility.

The Publisher shall not be held liable for any direct or indirect damages resulting from implementation that does not comply with best practices, misinterpretation of the provided plan, failure to obtain the necessary administrative approvals (building permits, prior notice of work, local zoning regulations), or from use of the plan in a context not covered by the service (non-standard seismic zone, exceptional snow load not entered, etc.).

The Publisher shall not be held liable for temporary service interruptions resulting from maintenance, failures of third-party services (Glide, Stripe), or force majeure.

In any event, the Publisher’s liability, if any, shall be limited to the total amount actually paid by the User during the twelve (12) months preceding the event giving rise to the damage.

ARTICLE 10 — PERSONAL DATA

The processing of the User's personal data is governed by the Privacy Policy, which is available on the website and forms an integral part of these Terms and Conditions.

In accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act, Users have the right to access, correct, delete, transfer, and object to the processing of their personal data, which they may exercise at any time by writing to simplywoodplan@gmail.com.

ARTICLE 11 — CUSTOMER SERVICE AND COMPLAINTS

The Publisher agrees to respond within a reasonable time, and no later than seven (7) business days after receiving the request.

For Users acting as consumers, in accordance with Articles L611-1 et seq. of the Consumer Code, in the event of an unresolved dispute with the Publisher, the User may use the following consumer mediation service free of charge:

ARTICLE 12 — GOVERNING LAW AND JURISDICTION

These Terms and Conditions are governed by French law.

In the event of a dispute, and after an attempt at amicable resolution, the competent court shall be the court of the defendant’s place of residence for Users acting as consumers, and the court with jurisdiction over the Publisher’s headquarters (the Court of Coutances) for Users acting as professionals.
